BioQuiz Terms of Service for Enterprise Users

By accessing or using the AI-MD BioQuiz platform, APIs, dashboards, documentation, and related enterprise tools and support services (the “Enterprise Services”), you agree to these Terms of Service (the “Terms”). If you do not agree, discontinue use of the Enterprise Services.


These Terms apply to organizations that contract with AI-MD Inc. (“AI-MD,” “we,” “our,” or “us”) and to their authorized personnel. Consumer experiences are governed by the AI-MD Consumer Terms of Service and the AI-MD Consumer Privacy Policy at ai-md.com.

By accessing or using the AI-MD BioQuiz platform, APIs, dashboards, documentation, and related enterprise tools and support services (the “Enterprise Services”), you agree to these Terms of Service (the “Terms”). If you do not agree, discontinue use of the Enterprise Services.


These Terms apply to organizations that contract with AI-MD Inc. (“AI-MD,” “we,” “our,” or “us”) and to their authorized personnel. Consumer experiences are governed by the AI-MD Consumer Terms of Service and the AI-MD Consumer Privacy Policy at ai-md.com.

Overview

Who these Terms cover. These Terms govern the relationship between AI-MD and the enterprise customer that registers for or is provisioned access to the Enterprise Services. They apply to the contracting entity and its administrators, analysts, developers, and other authorized users.


What the Enterprise Services provide. AI-MD BioQuiz enables partners to deliver personalized, biomarker-informed wellness insights and related analytics through embeddable experiences, APIs, and dashboards. BioQuiz outputs are informational and wellness oriented. They are not medical diagnosis or treatment recommendations.


Commitment to compliance and trust. AI-MD operates with strong privacy and security controls aligned to recognized standards, including SOC 2 principles, and complies with applicable laws such as PIPEDA, GDPR where applicable, CCPA or CPRA where applicable, and HIPAA where applicable. AI-MD does not sell or repurpose enterprise or consumer data.


Document hierarchy. If these Terms conflict with a signed enterprise agreement, DPA, BAA, or order form, the signed document controls for the conflicting subject matter. Commercial terms such as pricing, billing, and renewals are governed by your separate enterprise agreement or order form.


Related consumer terms. When end users take a BioQuiz on your properties, their data and experience are governed by the AI-MD Consumer Terms of Service and AI-MD Consumer Privacy Policy.

Account access and acceptable use

Account registration and responsibility. The enterprise customer must provide accurate business details during onboarding. You are responsible for maintaining up-to-date administrators, enforcing appropriate access controls, and ensuring that only authorized personnel use your credentials.


Credentials and security. Protect usernames, passwords, API keys, and tokens. Notify AI-MD promptly of suspected unauthorized access or security incidents related to your account or integrations.


License. Subject to these Terms and your enterprise agreement, AI-MD grants a non-exclusive, non-transferable, limited license to access and use the Enterprise Services for your legitimate business purposes during the applicable term.


Acceptable use. You agree not to:


  • Reverse engineer, decompile, or attempt to derive source code.

  • Circumvent security or access controls, probe for vulnerabilities, or interfere with service integrity.

  • Introduce malware or malicious code.

  • Misrepresent the accuracy, scope, or provenance of BioQuiz insights or AI-MD analytics.

  • Copy or frame the user interface or documentation except as permitted for internal use.

  • Access data belonging to other customers or use the Enterprise Services in violation of law.


Suspension. AI-MD may suspend or restrict access to protect the platform or other customers if there is suspected misuse, security risk, or legal exposure. AI-MD will make reasonable efforts to notify you and to limit suspension to what is necessary.

Data handling, privacy and responsible AI

Roles. For enterprise account data such as business contacts, billing references, usage logs, support records, and configuration settings, AI-MD acts as an independent controller under applicable law. For consumer end-user data processed through your BioQuiz implementation, AI-MD acts as your processor or service provider under your Data Processing Addendum (DPA) and, when applicable, your Business Associate Agreement (BAA).


Enterprise data. AI-MD processes business contact data, authentication records, technical telemetry, usage analytics, and support communications to operate, secure, and improve the Enterprise Services. Details are described in the AI-MD Enterprise Privacy Policy.


Consumer data. Consumer data collected through BioQuiz on your properties is processed under your instructions, your DPA with AI-MD, and the AI-MD Consumer Privacy Policy. You are responsible for providing any notices and obtaining any consents required under applicable law for your deployment.


International transfers. AI-MD processes data in Canada and the United States. Where required, AI-MD uses Standard Contractual Clauses and appropriate safeguards for cross-border transfers.


Retention and export. Enterprise account data is retained consistent with AI-MD’s retention schedules and your enterprise agreement, then deleted or de-identified. Upon request and subject to verification and applicable law, AI-MD will provide reasonable export, correction, or deletion assistance.


Responsible AI principles. AI-MD designs systems to support explainability, fairness, and accountability. Models are reviewed for potential bias. Outputs are intended to augment human judgment, not replace clinical expertise. BioQuiz insights are wellness oriented and not clinical diagnosis or treatment.


Scientific foundation. BioQuiz models are built using peer-reviewed biometric and physiological research and are validated on de-identified datasets for reliability and fitness for intended wellness use.

Roles. For enterprise account data such as business contacts, billing references, usage logs, support records, and configuration settings, AI-MD acts as an independent controller under applicable law. Collaboration. AI-MD values partner input on product enhancements, integrations, and analytics. Feedback you share may be used by AI-MD to improve the Enterprise Services without obligation, unless otherwise agreed in writing.

Intellectual property and confidentiality

Ownership. AI-MD retains all rights, title, and interest in and to the Enterprise Services, software, algorithms, biomarker models, documentation, designs, trademarks, and all improvements. No ownership rights are transferred by these Terms.


Your materials. You retain rights to your trademarks, logos, product content, and data you supply. You grant AI-MD a limited license to use your materials solely to provide the Enterprise Services and to fulfill agreed integrations.


Feedback. You may provide suggestions or feedback. AI-MD may use feedback for any lawful purpose without obligation or attribution, unless otherwise agreed in writing.


Confidential information. Each party may receive non-public information from the other that is identified as confidential or would reasonably be understood as confidential. The receiving party will protect it with at least the same care used for its own confidential information, use it only for the purposes of these Terms or the enterprise agreement, and not disclose it except to personnel and subprocessors bound by confidentiality obligations. This duty survives termination.

Ownership. AI-MD retains all rights, title, and interest in and to the Enterprise Services, software, algorithms, biomarker models, documentation, designs, trademarks, and all improvements. No ownership rights are transferred by these Terms.

This duty survives termination.

Disclaimers and liability

No warranties. The Enterprise Services are provided as is and as available. AI-MD disclaims all warranties, whether express, implied, statutory, or otherwise, including warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, error-free operation, and availability.


Wellness purpose only. Biomarker and BioQuiz insights are informational and wellness oriented. They are not medical advice, diagnosis, or treatment. Your organization is responsible for ensuring that any consumer-facing claims in your channels align with this limitation.


Limitation of liability. To the maximum extent permitted by law, AI-MD will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenues, goodwill, or data, even if advised of the possibility. AI-MD’s total liability for all claims in the aggregate will not exceed the amounts paid by you for the Enterprise Services during the twelve months preceding the event giving rise to liability. These limits apply regardless of the legal theory.


Indemnification. You will defend, indemnify, and hold harmless AI-MD and its officers, directors, employees, and affiliates from and against third-party claims, damages, liabilities, costs, and expenses arising from your misuse of the Enterprise Services, your violation of these Terms, or your failure to comply with applicable law in your deployment and marketing of BioQuiz.

No warranties. The Enterprise Services are provided as is and as available. AI-MD disclaims all warranties, whether express, implied, statutory, or otherwise, including warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, error-free operation, and availability.


Wellness purpose only. Biomarker and BioQuiz insights are informational and wellness oriented. They are not medical advice, diagnosis, or treatment. Your organization is responsible for ensuring that any consumer-facing claims in your channels align with this limitation.


Limitation of liability. Sections that by their nature survive termination will continue, including confidentiality, IP, disclaimers, and limitations of liability.


Changes to these Terms. AI-MD may update these Terms to reflect product changes, security enhancements, or legal requirements. The current version will be posted at your enterprise portal or a designated legal page with a revised effective date. Material changes will be communicated through reasonable notice to enterprise contacts. Continued use after the effective date constitutes acceptance.

Either party may seek injunctive relief in a court of competent jurisdiction to protect confidential information or intellectual property.


Notices. Legal notices to AI-MD should be sent to the address or email designated in your enterprise agreement, or to info@ai-md.com with the subject line “Legal Notice.”

Governing law. These Terms are governed by the laws of Ontario, Canada, without regard to conflict of law principles.


Dispute resolution. Disputes will be resolved by binding arbitration administered by the ADR Institute of Canada, seated in Ontario, with a single arbitrator and proceedings in English, unless a signed enterprise agreement specifies a different forum or process.
